This text is written and specific, but it has not been checked by anyone qualified in the jurisdiction it names. Have it reviewed before you take payment, and ship the identical text inside the application.
Noxere is desktop software licensed to you for a fixed period. You are buying the right to run the application on one machine for the term you have paid for. You are not buying the software itself, and the licence ends when the term does unless it is renewed.
Noxere does not include any of the following, and cannot function without them. You are responsible for obtaining them, for their cost, and for complying with the terms of whoever provides them:
Noxere is a client. It does its work by talking to services neither of us owns, and it cannot work better than they do. Three different things are involved and they are not the same:
We will make reasonable efforts to keep Noxere working when a platform it depends on changes, and updates are included for the term you have paid for. But no software that talks to someone else's service can guarantee that service will keep behaving, and this one does not.
If a change outside our control stops Noxere working altogether and we cannot restore it, tell support. Where the outage is prolonged and we cannot fix it, we extend your licence by the time lost or refund the unused part of the term. That is a decision we make in good faith, not a right you can claim for a slow day.
The price of Noxere covers Noxere. Telegram accounts, proxies and OpenAI usage are bought by you, from whoever you buy them from, and billed to you by them. Comments are written using your own OpenAI key and every comment costs you money at OpenAI's rates — that spend is yours and is not included in, or limited by, what you pay us.
You are responsible for how you use Noxere and for what happens to the accounts you connect to it. Telegram's own terms apply to those accounts and are between you and Telegram. Accounts can be limited or removed by Telegram at any time; that outcome is not a defect in the software and is not grounds for a refund.
Noxere may not be used for anything unlawful, fraudulent or abusive, or in breach of the terms of any platform it touches. You carry the consequences of such use in full.
Channels and groups you target may carry age-restricted material. Checking and observing the age rules, laws and platform policies that apply where you are is your responsibility. We do not verify anyone's age and take no responsibility for use by anyone below it.
Payment is in cryptocurrency, priced in US dollars at the rate quoted when the invoice is created. Payments are irreversible once confirmed on-chain.
Nothing renews automatically. Cryptocurrency cannot be charged on a schedule, so the licence expires at the end of its term unless you pay again before it does.
Noxere is licensed for business and professional use. It is not sold to consumers, and by buying it you confirm you are acting for purposes related to your trade or business. Consumer withdrawal rights, including any statutory cooling-off period, do not apply to a business purchase.
There is no cooling-off period and no general right to a refund. Everything needed to decide before paying is published before payment: what the application does, what you must supply yourself, and the system it needs. Support answers questions before purchase, and asking first costs nothing.
A refund is given in one case. If Noxere does not install or does not run on a system that meets the published requirements, and support cannot make it run, the payment is returned.
To claim it:
Refunds are paid as the US dollar amount you were invoiced, converted to the coin at the rate on the day of the refund — not as the number of coins you originally sent. The price was set in dollars and the refund settles in dollars; neither side gains or loses from the rate moving in between. The network fee on the refund transaction is deducted from the amount returned.
The following are not grounds for a refund:
Nothing here removes rights that cannot be removed by contract in your jurisdiction. Where such a right applies, it applies.
Support can move your licence to a new Telegram account. A licence key alone is not accepted as proof of ownership — it sits on your machine and anyone who has seen it could quote it. You will also be asked for the transaction ID of a payment you made.
Any relink is announced to the account currently linked and takes effect 24 hours later, so it can be stopped if it was not you. Requests of this kind are confirmed through the address named under Verifying that you are talking to us.
A licence activates on one machine at a time. You may release that machine and activate another, up to 5 times per calendar month.
The application runs on your own computer and does not depend on our servers to operate day to day, but licence checks, downloads and payment do. We do not promise uninterrupted availability of those services.
You end the licence by not renewing it. Nothing is cancelled and no notice is needed — the term simply runs out.
We may terminate immediately, without refund, if these terms are broken: in particular unlawful use, sharing or reselling the licence, or attempting to defeat the licensing itself. On termination all use must stop and every copy must be deleted.
Noxere is provided as it is. Beyond the refund case set out above, no promise is made about performance, results, accuracy, uninterrupted operation, or that it will suit any particular purpose of yours.
To the fullest extent the law allows, we are not liable for lost revenue or profit, lost or damaged data, suspended or banned accounts, business interruption, reputational harm, or anything arising from a third-party service.
Where liability cannot be excluded, our total liability for everything arising out of this agreement is capped at the amount you paid us in the twelve months before the claim. On a monthly licence that is a bounded, knowable figure, and it is the basis on which the price was set.
If a claim is brought against us because of how you used Noxere — the accounts you ran through it, the content you sent, a law you broke or a platform term you ignored — you will defend us, and cover the damages, penalties and reasonable legal costs that result.
This is the clause that matters most in practice. What Noxere does is decided entirely by you: which channel, which accounts, what the comments say. We supply the tool and have no way to see or control any of it.
Neither party is liable for failure or delay caused by something beyond its reasonable control — platform or API changes, outages, network failure, sanctions, government action, or anything of similar character.
Support runs on Telegram because that is where our customers are. But a Telegram username can be changed by its owner and, once released, taken by someone else — so it cannot prove identity on its own.
The one official channel for formal notices and identity verification is primecove@proton.me. Before acting on anything sensitive — a licence transfer, a refund, a payment instruction, an unexpected request — confirm through that address that the account you are speaking to is still ours. We may also require that confirmation from you before acting on such a request.
We are not responsible for loss caused by someone impersonating us on Telegram or anywhere else, nor for the security of your own email, Telegram account or devices.
This agreement is governed by the laws of Switzerland. Any dispute arising out of or relating to it shall be finally settled by arbitration under the Rules of the International Chamber of Commerce. The seat of arbitration is Geneva, Switzerland, and the language is English.
Not enforcing a term does not waive it. If any provision is held unenforceable, the rest stands. Nothing here creates a partnership, agency or employment relationship between us. In a dispute, the burden of showing that these terms were kept rests with the party claiming it.
Describe how changes are announced and when they take effect. The application shows the same document, so any change has to reach both.
